1. Who we are and what this covers

Licensor: Palpito Audio, Italy ("we", "us"). Contact: supporto@palpito.audio. The legal identity of the licensor is stated in section 14.

Software: Palpito, a desktop application for macOS and Windows that generates MIDI expression (controller) data from a musical part, including the free edition ("Palpito Free"), the paid edition ("Palpito Pro"), the licence file that unlocks Pro, updates, and the accompanying documentation (together, the "Software"). The Software is a work of authorship of Andrea Pierantoni, published under the Palpito Audio name; all rights in it are reserved.

This agreement governs your use of the Software. It is not a contract of sale. If you buy Palpito Pro, the purchase contract, payment, invoicing, taxes, any right of withdrawal and any refund are handled by our payment provider acting as merchant of record, under that provider's own buyer terms shown at checkout. Questions about a purchase go to the route on your receipt, not to us.

This agreement is made available to you before you download the Software (at https://palpito.audio/eula/ ), is shown by the Windows installer before installation, and is shipped inside the Software (file EULA.txt, reachable from the About panel). By installing, copying or using the Software you accept it. If you do not accept it, do not install or use the Software, and delete any copy you hold.

2. Licence grant

Subject to this agreement, we grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the Software for your own music production, professional or private, on devices you own or control:

  • Palpito Free: on any number of your own devices, at no charge.
  • Palpito Pro: on up to two (2) of your own devices at the same time, by means of the licence file issued to you after purchase. The licence file is issued to a named person or entity; it identifies you and is signed by us. You may move Pro between your own devices at any time.

Your Pro licence is perpetual and includes lifetime updates: every update of Palpito we release, at no additional charge, for as long as we publish them (one-time purchase, as stated on our website).

3. What you may not do

Except where the law expressly allows it, you may not:

  • copy the Software other than for installation, backup and normal use;
  • sell, rent, lease, lend, sublicense, share or otherwise transfer the Software or your licence file to anyone else, or make it available on a network to people who are not licensed;
  • remove, alter or circumvent the licence file, the licence verification, or any notice of authorship or copyright;
  • modify, translate, adapt or create derivative works of the Software;
  • decompile, disassemble or reverse-engineer the Software, except to the extent that articles 64-ter and 64-quater of Law 633/1941 (and articles 5 and 6 of Directive 2009/24/EC) reserve that right to you, for example to obtain the information necessary for interoperability, when that information is not otherwise readily available;
  • use the Software to build a competing product from its algorithms, or use automated means to extract its output at scale for that purpose.

4. Your music is yours

Everything you create with the Software (MIDI files, controller data, recordings, compositions) is yours. We claim no rights in your output and we never receive it: the Software works entirely on your device.

The names of sample libraries and DAWs mentioned in the Software or on our website belong to their owners and are used only to describe compatibility.

5. Third-party components

The Software is built with open-source components, including the Qt framework via PySide6 (licensed under the GNU Lesser General Public License v3), the mido MIDI library (MIT licence) and the Python runtime (PSF licence), among others. From version 0.1.0b38 their licence texts and notices are supplied with the Software in the file THIRD-PARTY-LICENSES.txt inside the application bundle and on the installation medium, and are reachable from the application's About panel; they are also supplied on request at supporto@palpito.audio. Those components remain under their own licences, which govern them and, where required, grant you rights (such as the right to relink LGPL libraries) that this agreement does not restrict.

6. Privacy and data

The Software is offline. It does not send your files, your music or usage data anywhere and does not contain telemetry or accounts. The only network action it can take is a version check against our website, which happens only when you click the update button. That request necessarily reveals your IP address to our hosting provider, exactly as loading any web page does; nothing about you, your files or your use of the Software is sent.

Your email address, when you request the free download or a Pro licence, is processed as described in our Privacy Notice at https://palpito.audio/privacy/ , solely for delivering the Software, telling you about new versions and how to get them, and answering your support requests. We never use it for marketing.

7. Updates and support

We release updates when we see fit; Palpito is under active development and features may change. Updates delivered through our website are covered by this agreement. Support is provided by email at supporto@palpito.audio on a reasonable-effort basis; we do not promise a response time except where the law requires one.

8. Beta and "as-is" status

The Software is currently distributed as a beta. To the extent permitted by law, it is provided "as is" and "as available", and we make no promise that it is error-free, that it will fit a particular musical or technical purpose, or that it will work with every sample library, DAW or system configuration. Always keep backups of your projects.

9. Consumer conformity rights

If you are a consumer in the European Union, the following applies regardless of section 8: digital content and digital services supplied to you must conform to the contract as required by Directive (EU) 2019/770 and, in Italy, by articles 135-octies and following of the Consumer Code (Legislative Decree 206/2005). If Palpito Pro does not conform, you have the legal remedies provided there: bringing the Software into conformity, price reduction, or termination. Your purchase contract is with the seller of record named on your receipt, and price reduction and termination are exercised through them. You may also contact us at supporto@palpito.audio about conformity of the Software itself, and we will work with the seller of record to resolve it. Nothing here limits the remedies the law gives you or the party against whom you may exercise them. Palpito Free is supplied at no charge; where the law grants you conformity rights in respect of it, this agreement does not limit them.

Withdrawal and refunds. Any right to withdraw from your purchase, and any refund, are handled by the seller of record under its own terms shown at checkout — the same route as invoices and payments. For digital content, the right of withdrawal may be lost once supply begins with your express consent and acknowledgement; the seller's checkout will tell you so at the time. These are rights you have against the seller of record, and nothing in this agreement limits them.

10. Liability

Nothing in this agreement excludes or limits our liability for death or personal injury caused by our negligence, for fraud or wilful misconduct, for gross negligence, or for any liability that cannot be excluded or limited under the applicable law (including article 1229 of the Italian Civil Code).

If you are a consumer, the limitations in the next paragraph do not apply to you. Our liability towards you is governed by the applicable mandatory law, together with your conformity rights under section 9. Nothing in this agreement reduces them.

If you are not a consumer — that is, if you use the Software in the course of a business, craft or profession — then, subject to the first paragraph and to the extent permitted by law: we are not liable for loss of profit, loss of business, loss of goodwill, lost or corrupted data caused by circumstances outside the Software, or indirect or consequential loss; and our total liability arising from or in connection with the Software is limited to the price you paid for your Palpito Pro licence. Palpito Free is supplied at no charge, and for it our liability is limited to the maximum extent permitted by law.

11. Term and termination

This agreement applies from the moment you install the Software and for as long as you use it. It ends automatically if you materially breach it and do not cure the breach within thirty (30) days of our notice, or immediately for a breach of section 3 that cannot be cured. On termination you must stop using the Software and delete your copies and your licence file. Sections 4, 5, 9, 10 and 12 survive termination. Your statutory rights as a consumer are not affected by termination for breach.

12. Governing law and disputes

This agreement is governed by Italian law. If you are a consumer, you also keep the protection of the mandatory rules of the law of the country where you live, and you may bring or defend proceedings in the courts of that country. For everyone else, the courts of Milan, Italy have exclusive jurisdiction. If you are a consumer, you may also refer a dispute to a competent alternative dispute resolution (ADR) body in your country; for purchases, the dispute-resolution routes in the seller of record's terms also apply.

If any clause of this agreement is found invalid, the rest remains in force and the invalid clause is replaced by the valid clause that comes closest to its purpose.

13. Changes to this agreement

We may update this agreement for new versions of the Software. The version that applies to you is the one shipped with the Software you use; a Pro licence file records the agreement version accepted at purchase (this document is PALPITO-EULA-v1). We will not reduce the rights of an existing Pro licence by a later change.
